These Terms and Conditions (“Terms”) govern your access to and use of the websites, customer and employee portals, and related services offered by DWS, Inc. (“DWS,” “we,” “us,” or “our”) (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.


Eligibility and accounts

You may need to register for an account to use certain features of the Services. You agree to provide accurate, current, and complete information, to update it as needed, and to maintain the confidentiality of your login credentials. You are responsible for all activity that occurs under your account. Notify us promptly if you suspect unauthorized access.

We may refuse registration, suspend or terminate accounts, or restrict access where we reasonably believe it is necessary for security, fraud prevention, compliance with law, or protection of the Services or other users.


Use of the Services

License

Subject to these Terms, DWS grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes in connection with your relationship with DWS.

Acceptable use

You agree not to misuse the Services. Without limitation, you will not:

  • Attempt to gain unauthorized access to the Services, other accounts, or DWS’s or third parties’ systems or networks;

  • Use the Services to transmit malware, spam, or deceptive or unlawful content;

  • Interfere with or disrupt the integrity or performance of the Services (including by automated scraping, excessive load, or circumventing technical limits) except as expressly permitted in writing by DWS;

  • Reverse engineer, decompile, or disassemble any part of the Services except where applicable law prohibits this restriction;

  • Use the Services in violation of applicable law or in a manner that harms DWS, its customers, or its partners.


Orders, pricing, and product information

Product descriptions, specifications, availability, lead times, and pricing shown through the Services are provided for business convenience and may change without notice. Orders are subject to acceptance, credit approval, and any written quotation, order acknowledgment, or agreement between you and DWS. In the event of a conflict between these Terms and a separate signed agreement or order terms, the separate agreement or order terms control for that transaction.


Payments

If you use payment features, you agree to comply with the applicable payment processor’s terms and any additional payment terms presented at checkout. You represent that you are authorized to use the payment method you provide.


Intellectual property

The Services, including software, text, graphics, logos, layouts, and other materials, are owned by DWS or its licensors and are protected by intellectual property laws. Except for the limited license above, no rights are granted to you. You may not remove proprietary notices or use DWS’s trademarks in a misleading way.

Feedback you voluntarily provide about the Services may be used by DWS without restriction or compensation to you, except where prohibited by law.


Third-party services

The Services may integrate with or link to third-party tools, platforms, or data sources. Third-party services are governed by their own terms and privacy policies. DWS is not responsible for third-party services you choose to use.


Disclaimer of warranties

To the fullest extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis. DWS disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. DWS does not warrant that the Services will be uninterrupted, error-free, or free of harmful components.


Limitation of liability

To the fullest extent permitted by applicable law, in no event will DWS, its affiliates, or their respective directors, employees, or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, or data, arising out of or related to your use of the Services, even if advised of the possibility of such damages.

To the fullest extent permitted by applicable law, DWS’s aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of (a) the amounts you paid to DWS for the Services giving rise to the claim during the six (6) months before the claim arose, or (b) one hundred U.S. dollars (USD $100), if no fees were paid during that period.

Some jurisdictions do not allow certain limitations; in those jurisdictions, DWS’s liability will be limited to the maximum extent permitted by law.


Indemnity

To the fullest extent permitted by applicable law, you will defend, indemnify, and hold harmless DWS and its affiliates and their respective directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of applicable law or third-party rights.


Suspension and termination

We may suspend or discontinue all or part of the Services, or terminate or suspend your access, at any time with or without notice where permitted by law, including for conduct that we reasonably believe violates these Terms or creates risk for DWS or others.

You may stop using the Services at any time. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, indemnity, and governing law) will survive.


Changes to these Terms

We may modify these Terms from time to time. We will post the updated Terms on this page and update the “Last updated” date. If changes are material, we may provide additional notice as appropriate. Your continued use of the Services after the effective date of changes constitutes acceptance of the revised Terms, except where applicable law requires a different process.


Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles, except where preempted by federal law. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Virginia, and you consent to personal jurisdiction and venue there, except where prohibited by law.

General

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect. DWS’s failure to enforce any right or provision is not a waiver of that right or provision. These Terms constitute the entire agreement between you and DWS regarding the subject matter here and supersede any prior understandings on the same subject, except to the extent a separate signed agreement expressly states otherwise.
